By-Laws

ARTICLE IV

BOARD OF DIRECTORS

SECTION I – MEMBERS

All officers, Vice Presidents, and directors shall comprise the membership of the Board of Directors. FEA Director(s) and/or elected governance of a national affiliate from the Service Unit shall be included as an ex-officio, non-voting member(s) of the Board of Directors. No member of the Board of Directors shall hold more than one (1) voting position on the Board.

SECTION II – DUTIES

The Board of Directors shall:

Have the duties, responsibilities, and authority for the conduct of OESPA in all matters as defined by these Bylaws and shall be limited only as described herein.

Approved June 25, 1994

Establish goals, set annual dues assessments, and approve an annual budget as outlined in Article X.

Authorize adjustments within the adopted budget to meet the established goals of OESPA and establish policies regarding the disbursement of funds.

Act upon all matters of business brought before the Board.

Elect the President Pro Tempore from among the Vice Presidents.

Approve the appointment of Committee Chairpersons and Board liaisons to Committees.

Approve the appointment of members to offices and directorships if vacancies occur between elections, except as stated in Article III, Section IV, B.

Recommend the recall of any officer, vice president, director, or lead steward who is not adequately performing the duties of their office, with a two-thirds (2/3) vote of the Board as outlined in Article VII Section II.

Act upon suspensions, expulsions, and reinstatements of membership as outlined in Article II Section IV.

Establish additional committees and task forces as needed to accomplish the established goals of OESPA.

Function as the Appeal Board regarding decisions of the Contract Committee on the arbitration of grievances.

Approve all change(s) or adoption(s) of policies of OESPA by a majority vote of those present.

Hold an organizational meeting of the new Board of Directors prior to June 25 for the express purpose of electing members to the Coordinating Council, electing a President Pro Tempore, and approving appointments which may begin on June 25 or after, as necessary.

SECTION III - ETHNIC MINORITY GUARANTEE

Members from ethnic minorities should comprise a proportional membership of all bodies of OESPA, including the Board of Directors, which is reflective of the percentage of ethnic membership in OESPA of an ethnic group and is also reflective overall for the total ethnic minorities combined membership in OESPA.

The President shall appoint at-large Directors with the approval of the Board of Directors whenever necessary to reflect the ethnic minority membership of OESPA and ensure all bodies within OESPA also reflect it’s diversity. The number of at-large Directors to be appointed shall not exceed the number of directors required for the Board to most closely reflect the at large ethnic minority membership of OESPA which is being corrected.
