ARTICLE III GOVERNANCE POSITIONS SECTION I All officers, vice presidents, directors, and other elected representatives of OESPA shall be members in good standing of OESPA. Revised May 28, 2002 SECTION II - OFFICERS OF OESPA The officers of OESPA shall be a President, President Pro Tempore and a Secretary/Treasurer. Approved June 25, 1994 SECTION III - ELIGIBILITY FOR OFFICE A. All candidates for office in OESPA must have been active members of OESPA three (3) months prior to the date of the election unless ineligible for membership. Any member may run for office if the member joined within thirty (30) days of becoming eligible and was a member prior to the close of nominations for the office. Approved June 25, 1994 B. All officers must be members in good standing throughout the term of office. Approved June 25, 1994 C. The office of President Pro Tempore shall be filled yearly by a secret ballot election of the Board of Directors. The President Pro Tempore shall be chosen from among the Vice Presidents of OESPA at the organizational meeting of the Board prior to June 25 or at the first regularly scheduled meeting each year. Approved June 25, 1994 SECTION IV - TERM OF OFFICE A. Excluding President Pro Tempore, the term of office for all officers shall be two (2) years with no officer to serve more than two (2) consecutive terms in any one office. The office of President Pro Tempore may be held for as many consecutive terms as the member is eligible with the term of office being for one year. Approved June 25, 1994 B. Vacancies 1. President - President Pro Tempore In case of a vacancy in the office of the President or President Pro Tempore, the Board of Directors shall fill the office from among its ranks by secret ballot. Approved June 25, 1994 2. Others All other vacancies in offices of this Union shall be filled for the un-expired term by appointment of the President with the approval of the Board of Directors. Appointments made by the President should reflect the ethnic minority makeup of OESPA. Revised May 24, 2001 SECTION V - DUTIES OF OFFICE All officers shall be members of the Board of Directors. They shall perform the duties pertaining to their respective offices and such other duties as may be imposed upon them by the Policies of OESPA. Approved June 25, 1994 A. The President shall: 1. Represent OESPA as spokesperson on matters of policy or assign, at the President's discretion, responsibility for such representation. Approved June 25, 1994 2. Call and preside at all meetings of the Board of Directors, Stewards Council, and all other general OESPA meetings. Approved June 25, 1994 3. Prepare the program and agenda for meetings over which the President presides. Approved June 25, 1994 4. Deliver an annual report on OESPA's activities at an annual membership meeting. Approved June 25, 1994 5. Appoint a Parliamentarian, as needed, to advise the President at all meetings of OESPA at which the President presides. Approved June 25, 1994 6. Appoint all Committees, Task Forces, and conference participants with the approval of the Board of Directors, assign charges within the approved goals, and be an ex-officio member of all committees. Revised May 28, 2002 7. Appoint the chairperson and the Board liaison of all Committees with the approval of the Board of Directors, except as otherwise stated in these Bylaws. Approved June 25, 1994 8. Give a bond to OESPA in the sum to be fixed by the Board of Directors. The premium on said bond shall be paid by OESPA. Approved June 25, 1994 9. Sign contracts and other instruments connected with OESPA and professional activities. Approved June 25, 1994 10. Have the power to sign checks as authorized. Approved June 25, 1994 11. Perform such other duties as may be determined by the Board of Directors. Approved June 25, 1994 12. Recommend to the Board of Directors appointments for un-expired vacancies. Approved June 25, 1994 13. Visit at least one-fourth (1/4) of the worksites in OESPA yearly. Approved June 25, 1994 B. The President Pro Tempore shall: 1. Assume the necessary duties of the President in case of absence (or resignation) of the President. Approved June 25, 1994 2. Give a bond to the Union in the sum to be fixed by the Board of Directors. The premium on said bond shall be paid by OESPA. Revised May 24, 2001 3. Have the power to sign checks as authorized. Approved June 25, 1994 C. The Secretary/Treasurer shall: 1. Keep all minutes of OESPA and the Board of Directors meetings. Approved June 25, 1994 2. Keep an accurate record of attendance at all Board of Directors meetings. Approved June 25, 1994 3. Cause to be placed in a permanent file, copies of all minutes and records of OESPA. Approved June 25, 1994 4. Give a bond to OESPA in a sum to be fixed by the Board of Directors. The premiums on said bond shall be paid by OESPA. Approved June 25, 1994 5. Review all disbursement of funds by OESPA to insure the legitimate expenditure of those funds and make regular reports to the Board of Directors regarding the financial status of OESPA. Revised May 24, 2001 6. Assist the Executive Director in the preparation of a yearly budget. Revised May 24, 2001 7. Have the power to sign checks as authorized. Approved June 25, 1994 8. Assure that the books are submitted for annual audit by a licensed accountant at the close of the fiscal year. Approved June 25, 1994 All financial records shall remain the property of OESPA. SECTION VI - Vice Presidents and Directors A. Vice Presidents There shall be one (1) Vice President from each of the following OESPA occupational areas: [1] Custodial [4] Para-Professional [2] Food Service [5] Secretarial/Clerical [3] Maintenance [6] Transportation Revised May 28, 2002 B. Directors The occupational areas shall be represented by their Vice President. Additional director positions will be awarded based on an occupational area's proportional membership. The Executive Director shall document the best possible membership counts for this purpose to the Board at their January meeting. One additional Director shall be awarded to each occupational area for each additional ten (10) percent membership, or major fraction thereof, of the total membership of OESPA in the occupational area according to the chart below. Term of Vice Presidents and Directors Each Vice President and Director shall serve for a term of two (2) years, with no Vice President or Director to serve as a Vice President or Director for more than two (2) successive terms. Approved June 25, 1994 D. Election of Vice Presidents and Directors 1. Vice Presidents and Directors shall be elected by the OESPA members within their occupational area and must work within that area for the entire term of office. Approved June 25, 1994 2. Any Vice President or Director, displaced due to a change in occupational area, shall be declared ineligible for the current office and shall be automatically removed from the Board of Directors. Approved June 25, 1994 E. Duties and Responsibility of Vice Presidents and Directors The Vice President shall: 1. Call and preside over regular meetings of the members of his/her occupational area. Approved June 25, 1994 2. Develop a communication and representation network of stewards at each worksite to assist members of his/her occupational area with union matters. Approved June 25, 1994 3. Serve as spokesperson and set the agenda for any occupational area meetings. Revised May 24, 2001 4. Appoint the members to attend any occupational area meetings. Revised May 24, 2001 5. Counsel the President regarding all appointments to represent his/her
occupational area. 6. Serve as a member of the Board of Directors and perform the additional
duties of Director as listed below. 7. Counsel the President regarding members needing additional training and/or benefiting the Union by their attendance at conferences or meetings. Revised May 24, 2001 8. Perform all the duties of a director.
The Director shall: 1. Serve as a member of the Board of Directors. Approved June 25, 1994 2. Have the responsibility to communicate and/or meet regularly with the members in his/her occupational areas. Approved June 25, 1994 3. Attend all required meetings. Approved June 25, 1994 SECTION VII – SERVICE UNIT COUNCIL REPRESENTATIVES A. Election as President shall constitute an automatic appointment to the Coordinating Council. The additional Service Unit Council representative(s) shall be elected by the Board of Directors from among the members of the Board of Directors, Stewards Council, and Committees. Revised May 24, 2001 B. The term of office shall be for one (1) year beginning on June 25. Approved June 25, 1994 SECTION VIII – TERMS OF OFFICE All terms of office shall begin June 25 and end June 24. All terms of office, excluding President Pro Tempore and Coordinating Council Representatives, shall begin and end during odd numbered years. Approved June 25, 1994 SECTION IX – OTHER REPRESENTATIVES Any members serving as a voting member representing OESPA members to any governance board affiliated with OESPA shall be elected annually from the membership at large and shall serve as an ex-officio member on the OESPA Board of Directors unless specifically addressed elsewhere in these Bylaws.
